1. About these Terms

1.1These Terms of Use, referred to as the Terms, govern access to and use of Veriq, including its websites, applications, dashboards, reports, data processing functions, interfaces, exports and related features, collectively referred to as the Platform.

1.2Veriq is a business data consolidation, validation and reporting platform developed under the Kaido Tech brand.

1.3Kaido Tech Pte. Ltd. is currently undergoing incorporation in Singapore and is intended to become the operator of Veriq after successful incorporation and completion of the necessary legal and operational arrangements.

1.4Nothing in these Terms represents that Kaido Tech Pte. Ltd. has already been incorporated.

1.5In these Terms, Kaido Tech, we, us and our refer to the team responsible for developing and operating Veriq during the pre incorporation period.

2. Definitions

In these Terms:

Authorised User means an individual who has been given permission to access Veriq.

Customer means an organisation that has been authorised to use Veriq.

Customer Data means data, files, records, instructions, configurations and other materials submitted to or processed through Veriq by or for a Customer.

Platform Technology means the software, interfaces, workflows, reusable modules, parser libraries, consolidation logic, schemas, templates, documentation and other technology used to provide Veriq.

Workspace means the Veriq environment made available to a Customer.

You means the individual accessing or using Veriq.

3. Acceptance of these Terms

3.1By accessing or using Veriq, you confirm that:

  • you have read and understood these Terms
  • you agree to comply with these Terms
  • you are authorised to access the relevant Workspace
  • you will use Veriq only for authorised business purposes.

3.2If you do not agree to these Terms, you must not use Veriq.

3.3Your organisation may also establish internal policies or instructions that apply to your use of Veriq.

4. Authorised access

4.1You may access Veriq only while:

  • your organisation authorises your access
  • your account remains active
  • you comply with these Terms
  • your assigned role permits the relevant activity.

4.2Your account is personal to you.

4.3You must not:

  • share your account or login credentials
  • allow another person to use your account
  • use another person’s account
  • misrepresent your identity or role
  • attempt to access another Customer’s Workspace.

4.4You are responsible for keeping your credentials secure.

4.5You must promptly report suspected unauthorised access or credential compromise to: [INSERT SUPPORT EMAIL]

5. Permitted use

5.1You may use Veriq only for your organisation’s authorised internal business purposes.

5.2Permitted activities may include:

  • uploading authorised business data
  • reviewing data validation results
  • viewing dashboards and reports
  • downloading permitted reports and exports
  • reviewing alerts and exceptions
  • managing settings available to your assigned role
  • providing feedback
  • using other functions made available to you.

5.3You must remain within the authority and permissions granted by your organisation.

6. Prohibited use

6.1You must not:

  • access data, accounts, systems or Workspaces without authority
  • interfere with the operation, security or availability of Veriq
  • bypass authentication, permissions, rate limits or security controls
  • introduce malicious code, malware or harmful files
  • probe or test vulnerabilities without written permission
  • reverse engineer, decompile or attempt to obtain source code, except where applicable law does not permit this restriction
  • scrape or extract information outside Veriq’s intended export functions
  • copy or reproduce the Platform Technology except where expressly permitted
  • upload information you are not authorised to process
  • access or attempt to access another Customer’s data
  • use Veriq for unlawful, fraudulent or misleading activity
  • infringe privacy, confidentiality, intellectual property or other legal rights
  • remove legal, confidentiality or intellectual property notices
  • assist another person to perform a prohibited activity.

6.2Normal use of authorised reports and export functions is not prohibited.

7. Customer Data

7.1Customers retain their rights in Customer Data.

7.2Veriq may process Customer Data only as reasonably required to:

  • operate the Platform
  • ingest, validate, transform and consolidate data
  • provide reports, dashboards and alerts
  • maintain and secure the Platform
  • diagnose technical issues
  • provide support
  • improve reliability and performance
  • comply with applicable legal obligations.

7.3You confirm that any information you submit is submitted with your organisation’s authority.

7.4You must not upload personal data, confidential information or third party materials unless your organisation is authorised to process them.

8. Platform intellectual property

8.1The Platform Technology is owned by or validly licensed to Kaido Tech and its relevant licensors.

8.2Nothing in these Terms transfers ownership of the Platform Technology to you or your organisation.

8.3Authorised Users receive only a limited, non exclusive, non transferable and revocable right to access and use Veriq for authorised internal business purposes.

8.4The Platform Technology includes:

  • software and source code
  • user interfaces
  • reusable data models and schemas
  • parser libraries
  • validation and exception logic
  • consolidation frameworks
  • dashboard templates
  • report structures
  • workflows and automation logic
  • technical documentation
  • platform branding
  • reusable improvements and general capabilities.

8.5Processing Customer Data or configuring Veriq for a Customer does not transfer ownership of the underlying Platform Technology.

9. Reports and exports

9.1Customers may use reports and exports generated from their own Customer Data for authorised internal business purposes.

9.2Rights in Customer Data or report outputs do not transfer ownership of:

  • Veriq
  • reusable templates
  • calculation frameworks
  • dashboard structures
  • parser logic
  • reusable workflows
  • technical components.

9.3You must share reports and exports only with authorised recipients.

10. Source data and accuracy

10.1Veriq processes information supplied by Customers and authorised sources.

10.2Outputs may be affected by:

  • incomplete data
  • inaccurate data
  • inconsistent file structures
  • incorrect mappings
  • delayed submissions
  • undocumented business rules
  • format changes
  • incomplete instructions.

10.3Users remain responsible for reviewing reports and outputs before relying on them for material financial, commercial, operational or strategic decisions.

10.4Veriq does not replace professional judgement, internal approvals or independent verification.

11. Availability and maintenance

11.1Veriq may occasionally be unavailable because of:

  • maintenance
  • security work
  • infrastructure outages
  • technical faults
  • third party service failures
  • circumstances beyond reasonable control.

11.2Where reasonably practical, material scheduled maintenance will be communicated in advance.

11.3No system can be guaranteed to be continuously available.

12. Platform changes

12.1Veriq may be updated to:

  • improve functionality
  • maintain security
  • correct defects
  • support new formats
  • comply with legal or technical requirements
  • improve usability
  • maintain compatibility with third party services.

12.2Updates do not transfer intellectual property rights to users or Customers.

13. Third party services

13.1Veriq may rely on third party providers for:

  • hosting
  • databases
  • authentication
  • email delivery
  • file storage
  • monitoring
  • analytics
  • security.

13.2Third party services may be subject to their own terms and availability.

13.3You must not connect unauthorised third party services to Veriq.

14. Security

14.1You must take reasonable steps to protect your account and Customer Data.

14.2You must:

  • follow authentication requirements
  • use secure credentials
  • log out of shared devices
  • avoid exposing data to unauthorised persons
  • report suspected incidents promptly
  • follow security instructions communicated through Veriq.

14.3Access may be temporarily restricted where there is a suspected security risk.

14.4No internet based platform can be guaranteed to be completely secure.

15. Privacy

15.1Personal data processed through Veriq is handled in accordance with the Veriq Privacy Policy.

15.2The Privacy Policy is available at: /privacy

15.3Users should contact their organisation’s administrator regarding personal data controlled by their organisation.

16. Confidentiality

16.1You must protect non public information accessed through Veriq.

16.2You must not disclose:

  • Customer Data
  • confidential business information
  • reports
  • credentials
  • security information
  • other confidential material, except where authorised by your organisation.

17. Suspension and removal of access

17.1Access may be suspended or removed where:

  • you are no longer authorised
  • your account presents a security risk
  • you breach these Terms
  • your organisation requests removal
  • the relevant Workspace is suspended or discontinued
  • suspension is required by law.

17.2Where reasonable, the affected organisation will be informed of a material suspension.

18. Feedback

18.1You may provide suggestions, feedback and issue reports.

18.2Unless otherwise agreed in writing, feedback may be used to improve Veriq without creating an obligation to compensate the person providing it.

18.3This does not transfer ownership of Customer Data or confidential information.

19. Disclaimers

19.1To the extent permitted by law:

  • Veriq is provided on an available basis
  • no guarantee is made that every error will be detected
  • no guarantee is made that all source data can be processed successfully
  • outputs depend on the quality and timing of source information
  • Veriq is not a substitute for professional advice or internal review.

19.2Nothing in these Terms excludes rights or liabilities that cannot lawfully be excluded.

20. Liability

20.1Nothing in these Terms creates personal liability for an Authorised User merely because that user accesses Veriq on behalf of an organisation.

20.2To the extent permitted by law, Kaido Tech will not be responsible for losses caused by:

  • inaccurate or incomplete source data
  • unauthorised account use caused by a user’s failure to protect credentials
  • third party systems outside Kaido Tech’s reasonable control
  • use of reports without appropriate review
  • events beyond reasonable control.

20.3Liability that cannot lawfully be excluded remains unaffected.

21. Termination of access

21.1Your right to access Veriq ends when:

  • your organisation removes your authorisation
  • your account is closed
  • the Workspace is discontinued
  • you breach these Terms
  • access is otherwise lawfully terminated.

21.2Upon termination, you must stop accessing Veriq.

21.3Provisions relating to intellectual property, confidentiality, liability and governing law continue where their nature requires them to survive.

22. Changes to these Terms

22.1These Terms may be updated to reflect:

  • changes to Veriq
  • incorporation of Kaido Tech Pte. Ltd.
  • changes in operating practices
  • legal or regulatory changes
  • security changes
  • clarification of existing provisions.

22.2Material changes will be communicated through Veriq or another reasonable channel.

22.3The current version and effective date will be displayed on this page.

22.4Users may be asked to acknowledge a materially updated version.

23. Post incorporation update

23.1After successful incorporation, these Terms may be updated to identify Kaido Tech Pte. Ltd. as the operator of Veriq.

23.2The updated version may include:

  • the UEN
  • registered office
  • updated support details
  • updated privacy details
  • revised legal identity wording
  • a new effective date and version number.

23.3Users may be asked to acknowledge the updated Terms.

25. Governing law

25.1These Terms are governed by the laws of Singapore.

25.2The courts of Singapore will have jurisdiction, unless another dispute process is agreed in writing.
